Right of first refusal (ROFR)

A right of first refusal gives a specified person or group an opportunity to match a bona fide offer before an owner transfers an interest to another buyer. The notice, matching, and timing procedures are set by the governing terms. A ROFR can affect transaction timing and the pool of potential buyers.
